These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vertex Technologies ("Company," "we," "our," or "us"), a registered technology business in Pakistan. These Terms govern your access to and use of our website at www.vertextechpk.com, our products including Pickroo, and all related services, applications, and platforms.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

• "Services" refers to all products, applications, websites, and platforms offered by Vertex Technologies, including but not limited to the Pickroo school transport tracking platform.
• "User" refers to any individual, school, organization, or entity that accesses or uses our Services.
• "Content" refers to all text, data, images, software, and other materials available through our Services.
• "Account" refers to the registered user account created to access our Services.

2. Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years of age, or you are using the Services under the supervision of a parent or legal guardian who agrees to these Terms
• You have the legal capacity and authority to enter into a binding agreement
• You are not prohibited from using the Services under the laws of Pakistan or any other applicable jurisdiction
• All information you provide to us is accurate, complete, and current

3. Description of Services

Vertex Technologies provides technology products and digital solutions, including:

• Pickroo: A school transport tracking platform that enables parents, schools, and transport operators to monitor school buses in real-time, receive smart notifications, and manage transport logistics
• Custom Software Solutions: Mobile applications, web platforms, cloud infrastructure, GPS and tracking systems, payment integrations, and security solutions
• Consulting Services: Technology consulting and digital transformation services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

4. User Accounts

4.1 Registration

Certain Services may require you to create an account. You agree to provide accurate and complete information during registration and to keep your account information updated.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if we determine that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the security of our Services or other users.

5. Acceptable Use

When using our Services, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable Pakistani law, including PECA 2016
• Attempt to gain unauthorized access to our systems, servers, or networks
• Interfere with or disrupt the integrity or performance of our Services
• Upload or transmit viruses, malware, or any other malicious code
• Collect, harvest, or store personal data of other users without their consent
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the GPS or tracking data provided through Pickroo for any purpose other than school transport management
• Reverse engineer, decompile, or disassemble any part of our software or Services
• Use automated scripts, bots, or scrapers to access our Services
• Resell, sublicense, or commercially exploit our Services without written authorization

6. Payment Terms

6.1 Fees and Pricing

Certain Services may require payment of fees. All fees are quoted in Pakistani Rupees (PKR) unless otherwise stated. Prices are subject to change with reasonable notice. Applicable taxes, including Sales Tax, Goods and Services Tax (GST), and Federal Excise Duty as required by Pakistani law, will be added where applicable.

6.2 Payment Methods

We accept payments through authorized payment gateways and methods available in Pakistan. All payment transactions are processed through secure, PCI-DSS compliant channels. You agree to provide valid and authorized payment information.

6.3 Billing

For subscription-based Services, you will be billed on a recurring basis according to the plan you select. You authorize us to charge your chosen payment method for all applicable fees. Failure to make timely payments may result in suspension or termination of your access to paid Services.

7. Intellectual Property

7.1 Our Intellectual Property

All content, features, functionality, software, designs, trademarks, logos (including the Vertex Technologies and Pickroo brands), and other intellectual property related to our Services are owned by or licensed to Vertex Technologies and are protected under Pakistani and international intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services for their intended purposes, subject to these Terms. This license does not include the right to copy, modify, distribute, sell, or lease any part of our Services.

7.3 User Content

You retain ownership of any content you submit through our Services. By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and process such content as necessary to provide and improve our Services.

8. Disclaimers

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. To the fullest extent permitted by Pakistani law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or completely secure
• Warranties regarding the accuracy, reliability, or completeness of any information provided through the Services

While Pickroo provides real-time tracking and notifications, we do not guarantee the absolute accuracy of GPS data or the uninterrupted availability of tracking services. Parents and schools should not rely solely on the platform for child safety and should maintain their own safety protocols.

9. Limitation of Liability

To the maximum extent permitted by applicable Pakistani law, Vertex Technologies, its directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from service interruptions, system failures, or data loss
• Any damages resulting from unauthorized access to your account or data
• Any damages exceeding the total amount paid by you to us in the twelve (12) months preceding the claim

10. Indemnification

You agree to indemnify, defend, and hold harmless Vertex Technologies, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you submit through our Services
• Your infringement of any third party's rights

11. Service Availability

We strive to maintain 99.9% uptime for our Services but do not guarantee uninterrupted availability. We may temporarily suspend access for maintenance, updates, or security reasons. Scheduled maintenance will be communicated in advance where practicable.

12. Third-Party Services

Our Services may integrate with or contain links to third-party services, including payment gateways, mapping services, and analytics providers. These third-party services are governed by their own terms and privacy policies. We are not responsible for the practices or content of any third-party service.

13. Termination

Either party may terminate this agreement at any time. You may stop using our Services and close your account. We may terminate or suspend your access immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, including the Contract Act 1872, the Electronic Transactions Ordinance 2002, and the Prevention of Electronic Crimes Act (PECA) 2016.

14.2 Dispute Resolution

In the event of any dispute arising from these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration in accordance with the Arbitration Act, 1940 of Pakistan, or alternatively, to the exclusive jurisdiction of the courts located in Lahore, Pakistan.

15. Force Majeure

We shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, government actions, internet or telecommunications failures, power outages, civil unrest, pandemics, or any other force majeure events.

16. Prevailing Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

17. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Vertex Technologies regarding the use of our Services and supersede all prior agreements, understandings, and communications.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or Services. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
